Job Description

Were seeking an experienced Corporate Paralegal with at least 7+ years of corporate transactional experience in a law firm setting. The ideal candidate is detail-oriented, proactive, and enjoys supporting attorneys across all stages of corporate transactions from entity formation to closing.

This boutique law firm handles complex domestic and cross-border corporate transactions, offering the opportunity to work closely with attorneys on sophisticated deals across multiple jurisdictions.

Key Responsibilities

• Assist with entity formation, corporate maintenance, and due diligence.
• Manage name and director/officer changes and foreign qualifications.
• Support attorneys with acquisition transactions and internal restructurings.
• Prepare and maintain corporate records and documentation.
• Use the Clio document management system (experience preferred).

What Were Looking For

• Bilingual in English and Spanish.
• 7+ years of experience in corporate transactional law within a law firm.
• Excellent organization and communication skills.
• Clio experience is a plus.
